If you are a company executive, the recent decisions of the Federal Court relating to Star Entertainment executives should act as a stark reminder of how governance failures can lead to devastating personal consequences.

The decisions, which centred on Star Entertainment Group’s handling of money laundering risks and misleading communications, found that senior executives fundamentally breached their statutory duty of care and diligence.

So what are the lessons for EVERY company director?

  • Act on Red Flags

You cannot ignore the warning signs. Despite independent KPMG reports highlighting serious anti-money laundering (AML) deficiencies, executives failed to respond adequately.

  • "Information Overload" is No Excuse

Modern board packs are notoriously massive, but Justice Lee ruled that directors cannot use information volume as an excuse to avoid scrutiny. Boards must strictly control the information they receive, take an intelligent interest, and apply an enquiring mind.

  • Don't Fudge It

Executives actively misled their bank (NAB) about the use of China UnionPay cards to fund gambling. Honesty and transparency with commercial partners and regulators are non-negotiable.

The PERSONAL Consequences

The governance failures outlined in the judgments resulted in the CEO being fined $700,000 and disqualified from managing corporations for six years. The Chief Legal and Risk Officer faced a seven-year disqualification and a $400,000 penalty. Other executives also received substantial fines and disqualifications.
